The Hackathon is not directed to, and not intended for distribution to or access by, any person in a jurisdiction where such distribution or access would be contrary to applicable laws or regulations. Persons or entities accessing or participating in the Hackathon are required to inform themselves about and observe such restrictions. Digital assets are speculative and highly volatile, may become illiquid at any time, and are high-risk. Persons dealing in digital assets may lose the entire value of their assets.
2. Volatility of Digital Assets. The value of digital assets, including stablecoins, can and does fluctuate significantly. The value of any prize at the time a Participant qualifies may differ materially from the value at the time of distribution. The Organiser makes no representation or warranty as to the value of any prize at any point in time.
3. No Endorsement of Submissions. Selection of a Submission as a winner or finalist does not constitute endorsement, recommendation, or warranty by the Organiser or the Partners of that Submission, the Participant, or any associated product or service.
4. Partners and Third-Party Protocols. 1. The X Layer Hackathon ("Hackathon") is organised and administered by Xlayer ("Organiser"), Uniswap and Flap (Uniswap and Flap each a "Partner" and together, the "Partners"). Any individual or legal entity that registers for the Hackathon ("Participant") agrees to be bound by these Terms.
2. The Hackathon shall be effective during the period stated on the Hackathon webpage, with submissions closing at 23:59 UTC on 28 May 2026 ("Hackathon Period"). The Organiser reserves the right to extend, shorten, or otherwise vary the Hackathon Period.
3. Eligibility. Participation is open to individuals aged 18 or above (or the age of majority in their jurisdiction, whichever is higher) and to legal entities. The Hackathon is not open to "Restricted Persons" as defined in the X Layer Terms of Service. The Organiser reserves the right to verify eligibility and to require Participants to complete identity verification (KYC) checks before Participants can receive their prize.
4. Submission Requirements. Each submission ("Submission") must:
- (i) be built around the Uniswap V4 Hook mechanism, with new Hook contract logic developed during the Hackathon Period (existing projects may participate but must complete substantive new development of Hook contract logic during the Hackathon Period);
- (ii) have, at minimum, its V4 Pool and Hook contracts deployed on X Layer mainnet or testnet, with verifiable contract addresses provided at submission;
- (iii) be submitted via the official submission form designated by the Organiser, no later than 23:59 UTC on 28 May 2026;
- (iv) be associated with a dedicated X (Twitter) account that tags @XLayerOfficial, @Uniswap and @flapdotsh in the submission post and posts consistently throughout the Hackathon Period; and
- (v) comply with any further technical requirements published on the Hackathon webpage.
5. Judging. Submissions will be evaluated under a dual-track scoring mechanism combining (i) automated AI scoring and (ii) human expert evaluation, in each case applying the criteria published on the Hackathon webpage (Innovation, Potential Market Value, Completion, and an optional Demo Video bonus). Judging is skill-based; no element of the Hackathon turns on chance. The Organiser’ s determination of winners is final.
6. Prizes and Distribution. Prize categories and amounts are as set out on the Hackathon webpage. Digital asset prizes will be distributed to the winner‘ s nominated wallet address after the conclusion of the Hackathon and completion of all applicable verification steps. Non-digital asset based benefits (including PR support, partnership opportunities, social media exposure, and priority access to the X Layer Future Accelerator Program) are provided at the discretion of the Organiser and, where applicable, the Partners, are not transferable, have no cash-equivalent value, and may be subject to separate terms. Eligibility for, and participation in, the X Layer Future Accelerator Program is at the sole discretion of the Organiser and is subject to the separate terms of that programme.
7. Wallets. Prizes will only be paid to self-custodial wallet addresses nominated by the Participant. The Organiser does not hold or otherwise control Participants’ private keys, recovery phrases, or wallet credentials at any time. Participants are solely responsible for the security of their wallets.
8. Sanctions Screening. All participants and nominated prize-recipient wallet addresses will be screened against applicable sanctions lists (including OFAC, EU, UK and UN consolidated lists) at registration and again immediately prior to payout. The Organiser will not make any payout to a wallet address or participant that appears on or is associated with any such list, and reserves the right to withhold or forfeit any prize on this basis without compensation.
9. Intellectual Property. Each Participant retains ownership of the intellectual property in their Submission. By submitting, each Participant grants the Organiser and each Partner a worldwide, non-exclusive, royalty-free, irrevocable licence to use, reproduce, display, and reference the Submission for the purposes of operating, judging, promoting, and reporting on the Hackathon, and warrants that the Submission does not infringe any third-party rights and that the Participant has all necessary rights in the Submission (including in any pre-existing material incorporated into it).
10. Anti-Abuse and Disqualification. The Organiser reserves the right to exclude or disqualify any Participant, Submission or wallet address that it reasonably suspects is engaging in dishonest or abusive conduct, including but not limited to: registering multiple identities or wallet addresses to obtain additional prizes, plagiarism, submission of code the Participant does not own or have rights to, gaming of automated scoring, failure to comply with the social media obligations in Clause (4), money laundering, wash trading, or any other illegal, fraudulent or harmful activity. Excluded Participants and wallet addresses may be banned from participating in any future Organiser hackathons or campaigns.
11. Taxes. All prizes are stated and paid gross of taxes. Participants are solely responsible for any and all taxes, withholdings, fees, costs and expenses (including connection, installation, service, gas and transaction costs) arising in connection with the receipt or use of any prize. Where required by law, the Organiser may report prize payments to relevant tax authorities, and participants agree to provide any information reasonably required to enable such reporting.
12. Governing Terms. Participation is also subject to the X Layer Terms of Service, which are incorporated by reference. In the event of conflict between these Terms, the X Layer Terms of Service and any other Organiser document relating to the Hackathon, these Terms prevail.
13. Modification. The Organiser reserves the right to interpret, modify, suspend, cancel or terminate the Hackathon and/or any of these Terms at any time and for any reason without prior notice. The Organiser has sole discretion in the final interpretation and application of these Terms.
14. Language. If these terms are made available in multiple languages, the English version shall prevail in the event of conflict.
15. Errors and Omissions. The Organiser expressly disclaims any and all responsibility and liability for any technical, pictorial, typographical, editorial or other error or omission in the Hackathon webpage, marketing materials, or these Terms.
